Subscription Policy
- Introduction
This Policy (“Policy”) govern your access and use of the Datum Subscription service (“Subscription Service”) offered by Repos Energy India Private Limited or its affiliates or subsidiary which includes but is not limited to Repos Finserv India Private Limited (“Repos”, “we”, “us”, or “our”). By enrolling in a Subscription Service, you agree to comply with this Policy, including the Auto Pay facility, Refund Policy, and Cancellation Policy.
- Definitions
For the purpose of this Policy:
- “Subscription User” means a registered user who has completed the requisite registration process and activated a Subscription Service on the Repos platform.
- “Subscription Fee” means the amount payable by the Subscription User on a recurring basis as per the chosen plan.
- “Lock-in Period” means the minimum tenure specified under the Datum Subscription Agreement during which the Subscription cannot be freely terminated without penalty.
- “Payment Method” means a valid payment instrument accepted by Repos, including debit/credit cards, UPI, internet banking, or any method introduced by Repos.
- “Auto Pay” means the automated deduction of Subscription Fees from the registered Payment Method at agreed billing intervals.
- “Datum Subscription Agreement” means an Agreement entered between the Subscription User and entity providing such Subscription Services.
- Eligibility & Registration
- The Subscription Service is available only to users who have successfully registered on the Repos platform and have executed the Datum Subscription Agreement.
- To activate a Subscription, you must:
- Provide accurate and complete personal, billing, and contact details; and
- Register at least one valid Payment Method acceptable to Repos.
- Repos may offer multiple plans with varying features, usage limits, and pricing. The terms of each plan shall apply in addition to this Policy.
- Auto Pay Facility
- By opting for Auto Pay, you expressly authorize Repos and its designated banking/payment partners to automatically deduct the Subscription Fee from your registered Payment Method in advance, on a monthly prepaid billing cycle.
- You may enable or disable Auto Pay feature at any time through your account settings; however Such disablement will take effect from the next billing cycle, and any charges accrued before that date will remain payable.
- You are responsible for ensuring that your registered Payment Method remains active and adequately funded to facilitate timely deductions.
- In case of Auto Pay failure due to insufficient funds, expired method, or technical error, Repos shall not be liable for delays in service. You must update payment credentials to continue services.
- Payment Terms
- Subscription Fees are payable in advance for each billing cycle and if your Payment Method fails, you remain liable to pay the invoiced amount by the 7th of that month. Non-payment may result in suspension or termination of your Subscription and late charges may be applied.
- You shall not revoke or dispute Auto Pay deductions unless the transaction is unauthorized or fraudulent. Unauthorized transactions must be reported to Repos and the payment gateway within forty eight (48) hours of such default.
- Free Trial (if applicable)
- Repos may, at its discretion, provide a free trial period. Terms and duration will be specified at the time of offer.
- Repos reserves the right to modify, suspend or withdraw any free trial without prior notice.
- A nominal token amount may be charged at the time of registration and may be refunded upon successful activation of your Payment Method.
- Technical Facilitation
- You acknowledge that Repos utilizes third-party payment gateway(s) and/or banking partners to process Subscription Fee payments and Auto Pay transactions. The processing of payments shall be subject to the terms and conditions of such third-party service providers, which you agree to comply with
- Repos shall not be liable for downtime, processing errors, or technical failures attributable to such third-party providers, except in cases of gross negligence or willful misconduct of Repos.
- General Provisions
- This Policy shall be governed under the laws of India.
- Repos reserves the right to update or amend this Policy at any time. Continued use of the Subscription Service shall constitute acceptance of such changes.
- Any disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with Pune, Maharashtra as the seat of arbitration.
